Sponsor: The sponsor of the Sweepstakes is Roku, Inc., 12980 Saratoga Ave, Suite D, Saratoga CA, 95070 (“Sponsor”). 

Sweepstakes Period:  The “ROKUZILLA GIVEAWAY SWEEPSTAKES” (the “Sweepstakes”) starts on June 15, 2012 at 09:00 A.M. Pacific Time (“PT”) and ends on June 20, 2012 at 09:00 P.M. PT (“Sweepstakes Period”). During the Sweepstakes Period, entry will take place online through Twitter. Sponsor’s clock is the official clock for this Sweepstakes. Entries that are submitted before or after the Sweepstakes Period will be disqualified. The Sweepstakes shall be subject to these Official Rules, and by entering, all participants agree to be bound by the terms and conditions herein.

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Twitter. You understand that any personally identifiable information you provide in connection with the Sweepstakes entry you are providing to the Sponsor and not to Twitter. The personally identifiable information you provide in connection with the Sweepstakes entry will be collected, stored and used in accordance with Sponsor’s Privacy Policies, as stated and available at www.roku.com/about/privacy.

How to Enter: Online sweepstakes only. Entrants must have a valid Twitter® account and be a follower of @RokuPlayer on Twitter.com as of the commencement of the Sweepstakes Period to enter this Sweepstakes. Entrants who are otherwise qualified under these Official Rules and 1) tweet a relevant reply to trivia questions posted by Sponsor during the Sweepstakes Period to @RokuPlayer with the hashtag #ROKUZILLA during the Sweepstakes Period (Replies or tweets without the hashtag #ROKUZILLA, or that are unrelated to the sweepstakes may be disqualified) or 2) retweet the tweets specified by the Sponsor during the Sweepstakes will receive one (1) automatic entry into the Sweepstakes. Entries made in either of these manners are collectively referred to as an “Entry" or “Entries". Limit one (1) Entry per entrant per day and one (1) Grand Prize per person or Twitter account/email address.

Any entrant found to be using multiple Twitter accounts to enter the Sweepstakes will be disqualified. Entries attempted using macro, robotic, script or other forms of automatic entry will be disqualified. By sending an update or Entry, you consent to allow the Sponsor to announce your name if you are a potential winner during the Sweepstakes, and if applicable, to direct message you if you are potential winner. In order for @RokuPlayer to direct message you, you will need to first be a follower of @RokuPlayer. All Entries become the exclusive property of the Sponsor and will not be acknowledged. Proof of sending will not be deemed proof of receipt by the Sponsor.  

Eligibility: The Sweepstakes is offered only to legal United States residents in the fifty (50) United States who are 13 years of age or older, have a valid Twitter® account and follow @RokuPlayer on Twitter.com as of the commencement of the Sweepstakes Period. Entrants under the age of majority in their jurisdiction of residence must obtain a parent’s or legal guardian’s consent before participating, and by participating represent that they have done so. Entries are limited to individual consumers only; commercial enterprises and business entities are not eligible. Employees of the Sponsor, and any of Sponsor’s parents, subsidiaries, affiliates, advertising and promotion agencies, and other Sponsor-authorized designees associated with the design, administration, prize providing and/or fulfillment of the Sweepstakes, as well as members of such employees’ immediate families (spouses, children, siblings, parents, grandparents and their respective spouses, regardless of where they reside) and/or households (whether or not related), are not eligible to participate in the Sweepstakes or win. Void in Puerto Rico, all U.S. territories and possessions and overseas military installations and where prohibited or restricted by law.

Prizes: Six (6) Grand Prizes: Each Grand Prize is a prize pack consisting of one (1) Roku 2 XS Streaming Player and one (1) of the following prizes as determined solely by Sponsor: one (1) pair of Godzilla slippers, one (1) ninja utility belt, one (1) pack of Godzilla stickers, one (1) pair of ninja socks or one (1) Lucky Cat sculpture (each a “Prize and collectively the “Prizes”). Approximate retail value of each Grand Prize is $120.00.

Odds of winning a Grand Prize depend on number of eligible entries received. Total value of all Grand Prizes is $720.00. Any difference between the stated approximate retail value and actual value will not be awarded. Each Grand Prize is non-transferable, non-assignable, non-substitutable and may not be redeemed for cash. Sponsor reserves the right to substitute a Grand Prize with one of comparable or greater value at any time in its sole discretion. Each Grand Prize may not be sold, bartered or exchanged by Grand Prize Winner. All federal, state and local taxes and any other costs and expenses associated with Grand Prize acceptance and use not specified herein as being provided, are the sole responsibility of Grand Prize Winner. All Grand Prize details are at Sponsor’s sole discretion. Each Grand Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. If eligible winner is deemed a minor in his/her state of residence, the Grand Prize will be awarded in the name of a parent or legal guardian. Limit one (1) Grand Prize per person.

Grand Prize Winner Selection: Winners of the Grand Prizes (“Grand Prize Winners”) will be determined by six (6) separate random drawings from all eligible entries received during that portion of the Sweepstakes Period. Sponsor will announce one potential winner and the corresponding prize each day on or about 5:00 P.M. PT during the Sweepstakes Period. The first random drawing will occur on or about 5:00 P.M. PT on June 15, 2012. The last random drawing will occur on or about 5:00 P.M. PT on June 20, 2012. The odds of being selected depend on the number of Entries received prior to each drawing.  

Notification:  Grand Prize Winners will be notified by a Twitter direct message from @RokuPlayer. Drawing will be conducted by an independent judging organization whose decisions are final on all matters relating to this Sweepstakes. If potential winners do not respond within three (3) days of notification, such Grand Prize may be forfeited and awarded to an alternate winner. Unclaimed prizes will not be awarded. If a Grand Prize Winner is found to be ineligible or not in compliance with these Official Rules, declines to accept the Grand Prize, or Sponsor is unable to contact a Grand Prize Winner, the Grand Prize will be forfeited, and in the Sponsor’s sole discretion, the forfeited Grand Prize may be awarded to an alternate Grand Prize Winner. If the Sponsor wishes to select an alternative Grand Prize Winner, Sponsor will select this alternative Grand Prize Winner at random from the eligible entrants. The Grand Prize Winners may be required to furnish proof of eligibility under these Official Rules. By participating, you agree to Sponsor’s inclusion of your name on a list of winners, if you are a winner. Sponsor’s decisions are final in all matters related to the Sweepstakes.  

Affidavit; Publicity Release: Acceptance of a Grand Prize constitutes permission (except where prohibited) granted to Sponsor to use the Grand Prize Winner’s name, likeness, picture, voice, biographical information and statements for publicity, advertising, trade and promotional purposes in connection with the Sweepstakes in any and all media and manner and by any and all means now known or hereafter devised in perpetuity worldwide without additional compensation or limitation of any kind, and without the need to get any further consent.

Conditions of Participation:  By entering this Sweepstakes, all entrants agree to these Official Rules. Sponsor reserves the right to disqualify from the Sweepstakes, and any future contest or other promotion conducted by the Sponsor, and to take such other action as may be appropriate, any entrant or Grand Prize Winner who, in the Sponsor’s reasonable suspicion, tampers with the web site, the entry process, intentionally submits mechanical entries, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner.

Disclaimer and Limitation of Liability:  Sponsor and its subsidiaries, affiliates, director, officers, employees, agents and representatives (collectively, “Released Parties”) are not responsible for illegible, lost, late, incomplete, stolen, misdirected, postage due, or undeliverable e-mail or direct message; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/web site/use net accessibility, availability, or traffic congestion, or any technical, mechanical, or typographical or other error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. Sponsor and Released Parties are not responsible for any incorrect or inaccurate information, whether caused by any web site users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to any web site(s). Sponsor and Released Parties not responsible for any injury or damage, whether personal or property, to entrant’s or to any person's computer related to or resulting from participating in the Sweepstakes and/or accepting a Grand Prize. If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Sweepstakes, the entrant’s sole remedy is to submit another entry into the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and/or proceed with the Sweepstakes, including the selection of the Grand Prize Winners, in a manner it deems fair and reasonable including the selection of winners from among eligible entries received prior to such cancellation, termination, modification or suspension.

In no event will more Grand Prizes be awarded than are stated in these Official Rules. In the event that, due to technical, typographical, mechanical or other errors, there are more Grand Prize Winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the Grand Prize Winners. All federal, state and local laws and regulations apply.

Sponsor and Released Parties shall not be responsible or liable for entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for entries that are late, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, garbled, or otherwise not in compliance with the Official Rules, and all such entries will be disqualified. By entering the Sweepstakes, each entrant agrees: (i) to be bound by these Official Rules and by all applicable laws and decisions of the Sponsor which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his/her rights to bring any claim, action, or proceeding against any of Sponsor, or Released Parties in connection with the Sweepstakes; and (iv) to forever and irrevocably agree to release, defend, indemnify, and hold harmless each of Sponsor and Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in connection with: (a) the Sweepstakes, (b) the violation of any third party privacy, personal, publicity or proprietary rights, (c) typographical errors in these Official Rules or any Sweepstakes materials, (d) acceptance, receipt, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of a Grand Prize (or any component thereof), (e) any change in the prizing (or any components thereof) due to unavailability, or due to reasons beyond Sponsor’s control, including but not limited to by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond any of the Released Parties’ control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation, or modification of the Sweepstakes, (g) human error, (h) incorrect or inaccurate transcription, receipt or transmission of any part of the entry (including, without limitation, the information or any parts thereof), (i) any technical malfunctions or unavailability of the websites or any telephone network, computer system, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by Sponsor, any of the Released Parties or by an entrant, (j) interruption or inability to access any Sweepstakes-related web pages, or any online service via the Internet due to hardware or software compatibility problems, (k) any damage to entrant’s (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes, (l) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (m) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged entries, (n) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties, (q) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof),(r) the collection, use and/or sharing of entrant’s personally identifiable information by Sponsor or its designees or (s) any negligence or willful misconduct by entrant.

Governing Law:  These Official Rules and these Sweepstakes are governed by and controlled by the laws of the State of California, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings or litigation relating hereto will be instituted and prosecuted solely within the State of California, Santa Clara County.  The parties consent to the jurisdiction of the state courts of California and the federal courts located within such state and county with respect to any action, dispute or other matter pertaining to or arising out of the Sweepstakes. The Sweepstakes is subject to all applicable laws.
