Welcome to Radio Roku, an online audio discovery, control and playback service (the "Service") provided to you by Roku, LLC ("Roku"). We hope you find the Service fun and easy to use. These Terms of Use (the "Terms" or this "Agreement") govern your use of the Service, including the software supplied by Roku or its distribution partners to you and corresponding documentation (the "Software") and your use of the Roku.com website (the "Site"), whether you use the Service as a registered user, or are a visitor to the Site. Roku reserves the right to change these Terms from time to time. It is your responsibility to review these Terms frequently and to remain informed about any changes to them, so we encourage you to review these Terms often. All references to "us," "our" and "Roku" in this Agreement are intended to refer to Roku, LLC. and its affiliate entities. All references to "you," "your" and "user" in this Agreement are intended to refer to the user who accepts this Agreement by checking the "I Accept" box when presented with the choice.
You agree not to use the Service for any illegal purpose and to adhere to these Terms. When using the Service, you will be subject to any guidelines, rules, and licenses found on the Site. Such guidelines, rules, or licenses may contain terms and conditions in addition to those in these Terms.
As a condition of your use of the Service, you will not:
Enter or transmit any content that is unlawful, harmful, threatening, harassing, defamatory, obscene, pornographic, vulgar, invasive of another's privacy or right of publicity, infringing of a third party's intellectual property rights.
Enter or transmit any content that is hateful, racially, ethnically, or otherwise objectionable, encouraging of conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or international law
Enter or transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships
Harm minors in any way, including, but not limited to, transmitting content that violates federal, state, international or any other child pornography laws, child sexual exploitation laws or laws prohibiting the depiction of minors engaged in sexual conduct
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through this Site
Transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software
Interfere with or disrupt (or attempt to interfere with or disrupt) the Site or servers or networks connected to this Site, or disobey any requirements, procedures, policies or regulations of networks connected to this Site; or
Provide any information to Roku that is false or misleading, that attempts to hide your identity or that you do not have the right to disclose including, but not limited to, sending material to Roku from an anonymous or false email address.
If we are notified of or have any reason to suspect that you are taking any of the actions above, Roku may investigate the allegation and determine in its sole discretion whether to notify the proper authorities and/or terminate your access to the Site and the Service. Roku may disclose any of your content or electronic communication of any kind to satisfy any law, regulation, or government request; or if such disclosure is necessary to protect the rights or property of Roku, Roku, a third party or any Roku user.
From time to time Roku may make the products and services of third party vendors available to you on the Site or in the Software
ROKU grants you a non-exclusive license, with no right to sublicense, to execute the software included with the SoundBridge or subsequently provided to you by ROKU (together, the "Software") on your SoundBridge solely for your personal use of the intended features and functions of the SoundBridge. The license may be transferred only with the transfer of the SoundBridge on which ROKU has installed the software; any transferee will be subject to the terms and conditions of this license. This license will terminate automatically, without notice, if you fail to comply with the terms and conditions, including the restrictions, of this license.
ROKU and its licensors own and retain all proprietary rights, including all patent, copyright, trade secret, trademark and other intellectual property rights, in and to the SoundBridge Software. You acknowledge that the license granted above does not provide you with title to or ownership of the Software, but only a right of limited use under these terms and conditions. The Software embodies ROKU's trade secrets and other proprietary information and materials. Any attempt to modify, enhance, disassemble, decompile, reverse engineer or otherwise gain access to the source code to the Software, to remove or unbundle the Software from the SoundBridge, or to sublicense or distribute the Software is strictly prohibited, except as may be otherwise agreed by ROKU in writing.

This product is protected by certain intellectual property rights of Microsoft Corporation. Use or distribution of such technology outside of this product is prohibited without a license from Microsoft or an authorized Microsoft subsidiary.
(a) You agree that except as expressly set forth above, you will not (and will not allow any third parties to): (i) use any device, robot, spider, other automatic software or device, or manual process to interfere or attempt to interfere with the proper working of the Software, or to monitor use of the Software without Roku' prior written permission, (ii) take any action that imposes an unreasonable or disproportionately large load on the Roku infrastructure, (iii) decompile, disassemble, or otherwise reverse engineer or attempt to reconstruct or discover any source code or underlying ideas or algorithms or file formats or programming or interoperability interfaces of the Software, to the extent such restrictions are allowable under applicable law, (iv) rent, lease, loan, sell, or sublicense, republish, distribute, display, use for service bureau purposes or transmit for commercial, for-profit, or non-educational purposes all or any portion of the Software, (v) copy, reproduce, modify, adapt, translate, or create derivative works of the software, make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network, (vi) use any network monitoring or discovery software to determine the Site architecture, or extract information about usage, individual identities or users, or (vii) export the Software into any country prohibited by the United States Export Administration Act and the regulations thereunder.
(b) You may not use the Software in an attempt to, or in conjunction with, any device, program or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by the copyright laws of any jurisdiction.
(a) The Software consists of interactive internet applications that perform a variety of communications over the internet as part of their normal operation. Some of these communications features are automatic and are enabled by default. By using the Software, you consent to the Software's communications features. If you register with the Service, then user information including your User ID, email address and password will be stored on Roku' servers. This information is used to access your account and to provide services. Roku may match this information to personally identifiable information in order to provide you with services. You are responsible for any telecommunications or other connectivity charges incurred through use of the Software.
(b) The Software may allow use of cookies. This allows any website to set cookies for you when you view any of the Site's content through the Software, unless you have disabled cookies.
(c) The Software automatically communicates with Roku' servers to check for updates to the Software, such as enhancements, data, bug fixes and patches, and may perform diagnostics on your computer to determine update or upgrade availability.
(a) The Software may contain third party software which requires notices and/or additional terms and conditions. If you choose to use such third party software, then such use will be governed by such third party's license agreement if an electronic copy of such license agreement is installed in the appropriate product folder on your computer upon installation of the Software. Roku is not responsible for any third party's software and will have no liability for your use of third party software.
(b) Third party content and web sites may be accessible through your use of the Software. Roku will not be responsible for and assumes no liability for any infringement, mistakes, defamation, slander, libel, omissions, falsehood in the statements, opinions, representations or any other form of information or data contained in any third party content or web site accessible through use of the Software.
(c) You acknowledge that some features of the Software or content obtained through use of the Software may require a license from a third party.
(d) The Software does not interact with the process of securing financial transactions, such as purchases and credit card transactions. These transactions are handled by the web site providing the content and are governed by that web site's privacy policy and end user terms and conditions.
The foregoing license gives you a limited license to use the Software. Roku and its suppliers retain all right, title and interest, including all copyright and intellectual property rights, in and to, the Software and all copies thereof. All rights not specifically granted in this Agreement, including Federal and International Copyrights, are reserved by Roku and its suppliers.
This Software and the documentation are provided with "RESTRICTED RIGHTS" applicable to private and public licenses alike. Without limiting the foregoing, use, duplication, or disclosure by the US Government is subject to restrictions as set forth in this Agreement and as provided in DFARS 227.7202-1(a) and 227.7202-3(a) (1995), DFARS 252.227-7013 (c)(1)(ii)(OCT 1988), FAR 12.212(a)(1995), FAR 52.227-19, or FAR 52.227-14, as applicable. Use You agree to immediately notify Roku of any unauthorized use of your password or account or any other breach of security.
This Site is not intended for or directed to persons under the age of 13. Children are not eligible to use the Service. We require that users of this Site and all subscribers to the Service be individuals who are 13 years of age or older. EACH TIME YOU REGISTER FOR THE SERVICE OR OTHERWISE PROVIDE INFORMATION TO ROKU, YOU ARE REPRESENTING TO ROKU THAT YOU ARE 13 YEARS OF AGE OR OLDER.

Roku may make changes to the Service and the Site at any time without notice.

Roku may terminate this Agreement and your access to the Service and the Site at any time, with or without cause. Sections J, L, M and Q will survive.
Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable content. Please note that information published on this Site may refer to products, programs or services that are not available in your country. These Terms are personal to you and you may not assign or transfer these Terms under any circumstances. You agree that this Agreement and all incorporated agreements may be automatically assigned by Roku, in its sole discretion, to a third party in the event of a merger, acquisition or bankruptcy.
These Terms constitute the entire agreement between you and Roku with respect to the use of this Site. Roku' failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision or of any other rights or provisions in these Terms. If a court should find that one or more rights or provisions set forth in these Terms are invalid, you agree that the remainder of the Terms will be enforceable and that the invalid provision will be enforceable to the fullest extent permitted by law.

お客様が、前記のいずれかの行為を行っていると疑うに足る情報があり、または疑うに足る理由があるとき、Rokuはその疑惑について調査し、単独裁量によって、適切な関係当局へ通報し、お客様によるサイトおよびサービスのアクセスを停止することができます。 Rokuは、法律、規制、もしくは政府の要求に応じるために、またはRoku、サードパーティ、もしくはRokuユーザーの権利財産の保護に必要な場合、お客様のコンテンツやあらゆる種類の電子的通信を開示することができます。
Rokuは、 サイト上またはソフトウェア内でサードパーティベンダーの製品やサービスをお客様に販売することができます。

(a) お客様は、前記に明示的に規定されていない限り、次の行為を行わないこと（また第三者に行わせないこと）に同意します。(i) Rokuからの事前の書面による許可なく、装置、ロボット、スパイダープログラム、その他の自動ソフトウェアや自動装置、または手作業によって、ソフトウェアの正常な作動を妨害し、妨害を試み、またはソフトウェアの利用状況の監視すること、(ii) Rokuのインフラストラクチャに、不合理なまたは過度に大きな負荷をかけること、(iii) 適用法が許す最大限度の制約において、ソフトウェアの逆コンパイル、逆アセンブル、または他のリバースエンジニアリングや、ソースコード、基盤となる考案、アルゴリズム、ファイル形式、プログラミング、相互運用インターフェイスを再現または発見を試みること、(iv) ソフトウェアの全部または一部の、サービスビューロー業務の目的でのレンタル、リース、ローン、販売、再ライセンス、再発行、配布、表示、使用、または商用、営利目的、もしくは教育目的以外の目的での伝送、(v) ソフトウェアのコピー、複製、改変、改作、翻訳、もしくは派生的作品の作成、ソフトウェアのコピーの作成、配布、またはネットワークを介したコンピュータ間でのソフトウェアの電子的転送、(vi) ネットワーク監視/検出ソフトウェアを使用したサイトアーキテクチャの判定、または使用状況、個人の身元、もしくはユーザーに関する情報の抽出、(vii) 米国輸出管理法および同法に基づく輸出管理規則によって輸出が禁止されている国へのソフトウェアの輸出。.
(b) 任意の法域の著作権法によって保護されるコンテンツファイルその他の作品へのアクセス権または作品自体の権利を管理する技術的方策を回避する試みにおいて、または回避のための装置、プログラム、サービスと共に、ソフトウェアを使用することはできません。
(a) ソフトウェアは、通常動作の一部としてインターネット経由でさまざまな通信を実行する、複数の対話型インターネットアプリケーションで構成されています。これらの通信機能の中には、自動的に動作し、デフォルトで有効な機能もあります。お客様は、ソフトウェアを使用することによって、ソフトウェアの通信機能に対する同意を与えたことになります。お客様がサービスに登録すると、お客様のユーザーID、電子メールアドレス、およびパスワードなどのユーザー情報が、Rokuのサーバーに保存されます。この情報は、お客様のアカウントにアクセスし、サービスを提供するために使用されます。 Rokuは、お客様にサービスを提供するために、このユーザー情報を個人識別可能情報と照合することがあります。お客様は、ソフトウェアの使用に伴って生じる電気通信料金その他の接続料金に関して責任を負います。
(b) ソフトウェアは、Cookieの使用を許可することができます。したがって、お客様がCookieを無効にしない限り、お客様がソフトウェアを使用してサイトのコンテンツを表示したときに、どのWebサイトもCookieを自動的に設定できます。
(c) ソフトウェアは、自動的にサーバーにアクセスして、ソフトウェアに対する機能強化、データ、修正プログラムなどの更新ファイルの有無を確認します。また、コンピュータの診断を行って更新プログラムやアップグレードの利用の可否を判定することができます。
(a) ソフトウェアには、通知や追加の契約条項を必要とするサードパーティのソフトウェアが含まれていることがあります。そのようなサードパーティのソフトウェアを使用する場合であって、ソフトウェアのインストール時に、当該サードパーティのライセンス契約書の電子コピーが、コンピュータの適切な製品フォルダにインストールされていれば、その利用条件は、そのサードパーティのライセンス契約によって規定されます。 Rokuは、サードパーティのソフトウェアについて一切の責任を負わず、サードパーティのソフトウェアの利用に関して賠償責任を負いません。
(b) お客様がソフトウェアを使用して、サードパーティのコンテンツやWebサイトにアクセスできる場合があります。 Rokuは、ソフトウェアを使用してアクセスされるサードパーティのコンテンツまたはWebサイトに含まれる主張、見解、表現、その他の形式の情報またはデータに含まれる違反行為、誤り、名誉棄損、誹謗中傷、侮辱、不作為、虚偽について一切の責任および賠償責任を負いません。
(c) お客様は、ソフトウェアの機能、またはソフトウェアを使用して取得したコンテンツを利用するために、サードパーティによるライセンスが必要な場合があることを承諾します。
(d) ソフトウェアは、購入やクレジットカードのトランザクションなど、金融トランザクションを保証するプロセスとは、相互作用を行いません。これらのトランザクションは、コンテンツを提供するWebサイトによって処理され、そのWebサイトのプライバシーポリシーとエンドユーザー向け契約条項によって規定されます。
前記のライセンスは、ソフトウェア利用のための制限付きライセンスを付与します。 Rokuとその供給元は、ソフトウェアとそのすべてのコピーが有する、またはそれに対するすべての著作権や知的財産権をはじめとする、すべての権利、資格、および利益を保有します。本契約で明示的に付与されていない、連邦法上の著作権や国際著作権などの権利はすべて、Rokuとその供給元が留保します。

法律が許す最大限度において、ROKUおよびその供給元は、いかなる損害についても責任を負いません。この損害には、サービスから生じた、またはサービスに関連する利益損失、間接的、偶発的、懲罰的、特別的、付随的損害が含まれますが、これに限定されません。前記の責任制限は、契約違反、過失、その他の不法行為、その他の根拠であっても、また、たとえROKU認定代理店がそのような損害の可能性について知り、または予測可能であった場合でも適用されます。いかなる状況においても、お客様または第三者に対する弊社の責任、および弊社の子会社、従業員、ならびに供給元の責任は、(A) 損害事由の発生に先立つ12か月間にお客様が弊社に支払った料金の総額、または (B) $100の多いほうを上限とします。 ROKUおよびそのサードパーティベンダは、第三者による不正アクセスまたはデジタル画像の不正使用に対して一切責任を負いません。
前記の免責条項、権利放棄、および責任制限は、制限的救済手段の本質的目的が達成されなくても適用されます。
法域によっては、偶発的損害または付随的的損害の制限または免責を認めない場合があるため、前記の制限と免責が適用されない可能性があります。また、お客様が、法域によって異なる他の法的権利を有する可能性もあります。
Rokuは、理由の有無にかかわらず、随時、本契約およびサービスやサイトへのお客様のアクセスを終了することができます。 J、L、M、およびQの各条項は、契約終了後も継続します。

サイト、サービス、ソフトウェア、および本契約書の使用から生じた、またはそれに関連したすべての法的問題は、法の抵触の原則にかかわらず、また、国連動産売買条約に関係なく、カリフォルニア州法に準拠し、同法に従って解釈されます。お客様は、本契約を実行するための裁判地は、カリフォルニア州サンタクララ郡を所轄するカリフォルニア州上級裁判所、またはカリフォルニア北部連邦地方合判所とすることに同意し、これを変更することはできません。
本規約は一身専属であり、いかなる状況においても本規約を譲渡または移転することはできません。お客様は、合併、買収、倒産の場合に、Rokuの単独裁量により、本契約書およびそれに組み込まれたすべての契約が、自動的に第三者に譲渡されることに同意します。
本規約は、本サイトに関するRokuとお客様の間での完全合意を構成します。 Rokuが、本規約の権利または規定の法的執行を行わないことは、法的執行の権利や条項、または本規約の他の権利または条項の放棄を構成しません。お客様は、本規約に定められた1つまたは複数の権利や条項が、裁判所によって無効とされた場合も、本規約の残りの条項は法的執行が可能であり、無効とされた条項も法律が許す限り法執行可能であることに同意します。
